1. Acceptance of Terms
By accessing or using the services of NexBalance Finance ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations.
2. Description of Services
NexBalance Finance provides professional accounting services including:
- Monthly bookkeeping and financial record management
- Tax preparation and filing services
- Payroll processing and management
- Financial consulting and advisory services
- Compliance assistance with Canadian financial regulations
3. Professional Standards
Our services are provided by licensed Chartered Professional Accountants (CPAs) in accordance with:
- CPA Canada professional standards
- Provincial regulatory requirements
- Canada Revenue Agency regulations
- Generally Accepted Accounting Principles (GAAP)
4. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete financial information
- Timely submission of required documents
- Payment of fees as agreed
- Compliance with all applicable laws and regulations
- Maintaining confidentiality of sensitive information
5. Fees and Payment
Service fees are based on the scope of work and complexity of services required. Payment terms:
- Monthly services: Billed in advance
- Project-based work: 50% deposit required
- Payment due within 30 days of invoice date
- Late payment may result in service suspension
6. Confidentiality
We maintain strict confidentiality of all client information in accordance with professional accounting standards and applicable privacy laws. Client information will not be disclosed except:
- With written client consent
- As required by law or regulation
- To other professionals assisting in service delivery
- For quality assurance purposes within our firm
7. Limitation of Liability
Our liability is limited to the fees paid for the specific services that gave rise to the claim. We are not liable for:
- Indirect, consequential, or punitive damages
- Business losses or lost profits
- Decisions made based on financial information we provide
- Third-party actions or omissions
8. Professional Insurance
NexBalance Finance maintains professional liability insurance as required by provincial regulations and professional accounting bodies.
9. Termination
Either party may terminate services with 30 days written notice. Upon termination:
- All outstanding fees become immediately due
- Client files will be returned upon request
- Confidentiality obligations continue indefinitely
- We may retain copies for regulatory compliance
10. Dispute Resolution
Any disputes will be resolved through:
- Initial good faith negotiation
- Mediation if negotiation fails
- Binding arbitration in Nova Scotia
- Applicable professional regulatory processes
11. Governing Law
These terms are governed by the laws of Nova Scotia and Canada. Any legal proceedings must be commenced in Nova Scotia courts.
12. Changes to Terms
We reserve the right to modify these terms with 30 days notice. Continued use of our services constitutes acceptance of revised terms.
